This Community Solar Program Participation Agreement (“Agreement”) is entered into between Central Electric Cooperative, Inc., an Oregon electric cooperative (“CEC”), and the undersigned member (“Participant”). Participant and CEC may be referred to herein individually as a “Party” and collectively as the “Parties.”

WHEREAS, CEC owns and operates a community solar program intended to provide income-qualified residential members with the opportunity to receive a monthly solar energy billing credit (the “Program”); and WHEREAS, Participant has indicated to CEC its desire to enroll in the Program; and WHEREAS, CEC has selected Participant in a fair and non-discriminatory manner, to participate in the Program in accordance with the terms and conditions of this Agreement. NOW THEREFORE, in consideration of the mutual promises contained herein, the Parties agree as follows.

1. Enrollment and Eligibility*

1.1 Enrollment. Participant may enroll in the Program by executing and delivering this Agreement to CEC on or before October 31st, 2026 (the “Effective Date”) or until the Program is full. Unless CEC determines otherwise because of insufficient eligible participants, Participant may enroll in the Program only once.

To participate in the Program, Participant must: (a) be and remain a member of CEC; (b) receive metered residential electric service from CEC; (c) maintain the applicable electric account in good standing; (d) satisfy CEC's income qualification requirements for the Program; and (e) continue to satisfy the foregoing requirements throughout the Term.

1.3 Changes in Eligibility*

1.3 Changes in Eligibility. If CEC determines that Participant no longer satisfies any applicable eligibility requirement, then Participant’s participation shall automatically terminate, effective immediately, without further obligation by CEC. Participant shall notify CEC immediately upon any change to its eligibility hereunder. CEC reserves the right to verify Participant’s Program eligibility, including Participant income eligibility.

2. Term*

The term of this Agreement (“Term”) shall commence on January 1 of the calendar year immediately following the Effective Date, and shall end on December 31 of that same year.

3. Solar Energy Credit*

3.1 Monthly Credit. During each month of the Term, Participant will receive a monthly bill credit in amount equal to the applicable energy cost component of Participant’s retail rate multiplied by the lesser of: (i) Participant’s total metered energy usage as reflected on the applicable monthly bill; or (ii) 650 kilowatt-hours (kWh). For avoidance of doubt, the amount of the monthly bill credit shall not exceed the energy cost component of the applicable monthly bill, and shall not offset Participant’s monthly demand charge, facilities charge, or any other applicable charges or billing components.

3.2 No Carryforward or Cash Value. If the metered energy component of any applicable monthly bill is less than 650 kilowatt-hours (kWh), then the unused portion of the credit will expire and will not be carried forward or applied to any future bills. The solar energy credit is solely a billing credit. It has no cash value and may not be redeemed for cash or other compensation.

3.3 Participant Responsibility. Participant remains responsible for payment of all other applicable charges, taxes, fees, and assessments appearing on Participant's electric bill.

4. Environmental Attributes*

All environmental attributes associated with the Program and the community solar facility, including all renewable energy credits ("RECs"), carbon credits, emissions reductions, offsets, allowances, and similar environmental benefits (collectively, “Environmental Attributes”), are and shall remain the exclusive property of CEC. Participant acquires no ownership interest in any Environmental Attributes and shall not claim ownership of, transfer, market, sell, or represent that Participant owns or is entitled to any Environmental Attributes associated with the Program.

5. Ownership and Operation of the Solar Facility*

CEC shall retain exclusive ownership, possession, operation, maintenance, repair, replacement, and control of the community solar facility and all associated equipment. Participation in the Program does not convey to Participant any ownership interest, leasehold interest, security interest, easement, license, or other property right in the community solar facility or any CEC property. Participant shall have no right to access or operate the community solar facility or associated equipment.

6. Transfer of Service Location*

If Participant’s service location changes during the Term, then Participant may transfer the solar energy credit to its new CEC service location, provided Participant otherwise remains eligible for the Program. Except as expressly provided above, Participant may not assign, transfer, pledge, gift, bequeath, or otherwise transfer to any other person or member any rights or obligations under this Agreement. Any attempted assignment in violation of this Section is void.

7. Changes to or Termination of the Program*

CEC reserves the right to modify, suspend, or terminate the Program upon written notice to Participant whenever CEC determines such action is appropriate for the administration of the Program or in the best interests of its membership. In such case, the termination, suspension, or modification of the Program shall be effective with respect to the next monthly invoice following written notice. Termination or modification of the Program shall not create any liability on the part of CEC except for application of any earned billing credits through the effective date of termination. CEC does not guaranty any minimum aggregate credit amount, or any continuing Program credits.

8. Electric Rates*

Nothing in this Agreement modifies CEC’s otherwise generally applicable electric rates, tariffs, rules, policies, fees, or conditions of service, all of which remain subject to amendment by CEC in accordance with applicable law and CEC policy.

9. Participant Representations*

By executing this Agreement, Participant represents and warrants that: (a) Participant has authority to enter into this Agreement; (b) all information provided to CEC in connection with Program enrollment is true and accurate; and (c) Participant has read and understands this Agreement and agrees to be bound by its terms.

10. Miscellaneous*

10.1 Entire Agreement. This Agreement constitutes the entire agreement between the Parties concerning the Program and supersedes all prior oral or written communications regarding the subject matter of this Agreement.

10.2 Amendments. Except as otherwise expressly provided herein with respect to Program modifications, this Agreement may be amended only by a written instrument signed by both Parties.

10.3 Severability. If any provision of this Agreement or the Program is held invalid or unenforceable, the remaining provisions of this Agreement and Program shall remain in full force and effect.

10.4 Waiver. Failure by either Party to enforce any provision of this Agreement shall not constitute a waiver of that provision or any other provision.

10.5 Governing Law. This Agreement shall be governed by and construed in accordance with the laws of the State of Oregon. Any action to interpret or enforce this Agreement shall be brought exclusively in Deschutes County, Oregon.

10.6 Incorporation of CEC Policies. CEC’s applicable rules and policies governing electric service remain applicable to Participant, except to the extent expressly modified by this Agreement.
