This Net-Metering Agreement (“Agreement”) is by and between Central Electric Cooperative, Inc. (“CEC”) and the submitting applicant(s), a member and retail electric customer of CEC (“Customer-Generator”). CEC and Customer-Generator may be referred to herein individually as a “Party” or collectively as the “Parties.” Capitalized terms that are not defined in this Agreement shall have the meaning given in CEC’s Net Metering Policy.
WHEREAS, Customer-Generator intends to own and operate the net-metering facility described herein (“Net-Metering Facility”); and WHEREAS, the Net-Metering Facility will at all times be located on Customer-Generator’s premises located at the CEC Service Address listed herein (“Premises”); and WHEREAS, the Net-Metering Facility qualifies for Net Metering service in accordance with ORS 757.300 and CEC’s Net Metering Policy; and WHEREAS, Customer-Generator desires to operate the Net-Metering Facility in parallel with CEC’s electric distribution system (“System”).

Now, therefore, in consideration of and subject to the mutual covenants contained herein, the Parties agree as follows:
1. Term: This Agreement shall commence on the date on which Customer-Generator submits to CEC a signed copy of this Agreement and shall remain in effect until terminated by either Party in accordance with the provisions of this Agreement.

2. Termination: This Agreement shall automatically terminate: (a) if Customer-Generator removes or permanently ceases to operate the Net-Metering Facility, as determined by CEC in its sole but reasonable discretion; or (b) upon any change in ownership of the Net-Metering Facility, unless CEC consents to an assignment of this Agreement pursuant to Section 17 below. The Parties may terminate this Agreement by written agreement signed by both Parties. Further, if Customer-Generator is in breach of this Agreement, then CEC shall have the right to terminate this Agreement. Upon termination of this Agreement, the Net-Metering Facility will be disconnected from CEC’s System at Customer-Generator’s expense. Termination of this Agreement shall not relieve either Party of any liabilities and obligations that accrued prior to the effective date of such termination.

3. CEC Approval: Customer-Generator shall not connect its Net-Metering Facility to CEC’s System or commence operation of the Net-Metering Facility in parallel with CEC’s System unless and until CEC has expressly authorized such connection and operation in accordance with CEC’s Net Metering Policy. Prior to such interconnection and operation, the Net-Metering Facility and associated interconnection and disconnection equipment shall be inspected and approved by the state electrical inspector and by any other governmental authority having jurisdiction.

4. Compliance with Applicable Laws and Policies: The Parties shall perform all obligations of the Agreement in accordance with all applicable laws and policies, including ORS 757.300, CEC’s Net Metering Policy, and any other applicable standards required by CEC. CEC reserves the right to amend its Net Metering Policy from time to time, which amendments may apply to Customer-Generator so long as they are not in conflict with any express term of this Agreement.

5. Net-Metering Facility Technical Standards: The Net-Metering Facility shall at all times conform to the technical standards set forth in ORS 757.300 and CEC’s Net Metering Policy. Customer-Generator shall be responsible for the design, installation, and operation of the Net-Metering Facility and shall obtain and maintain all required permits and approvals. Customer-Generator shall not make any material modifications to the Net-Metering Facility without first obtaining the written approval of CEC. Except as otherwise provided in this Agreement, Customer-Generator is responsible for all costs associated with installing, interconnecting, owning, operating, and maintaining the Net-Metering Facility. If an inverter is used, the Net-Metering Facility’s inverter shall meet the requirements of: (a) IEEE 1547, “Recommended Practice for Utility Interface of Photovoltaic (PV) Systems”; (b) Underwriters Laboratories (UL) Subject 1741, “Standard for Static Inverters and Charge Controllers for Use in Photovoltaic Power Systems”; and (c) the National Electric Code (NEC), Article 705.

6. Net-Metering Facility Approval: Customer-Generator certifies that a licensed electrician or inspector authorized to perform inspections under ORS 479.510 to 479.945 has approved the Net-Metering Facility.

7. Interconnection and Operating Requirements: Customer-Generator shall interconnect and operate its Net-Metering Facilities consistent with all applicable safety and performance standards and requirements established by the National Electric Code, National Electric Safety Code, Oregon State Building Codes, and Oregon Electrical Specialty Code. The Board of Directors of CEC may revise its interconnection and operating requirements as it deems to be necessary and appropriate. Notwithstanding anything in this Agreement to contrary, the Board of Directors of CEC may expressly determine that such revised interconnection and operating standards retroactively apply to the Net-Metering Facility. In such a case, the Customer-Generator shall bear the total costs of meeting the revised interconnection requirements.

8. Net Metering Service. Customer-Generator represents and warrants that the electrical output of the Net-Metering Facility is intended primarily to offset part or all of Customer-Generator’s retail electrical requirements on the Premises where the Net-Metering Facility is located. The electrical output of the Facility may not be used to off-set retail electrical requirements of any member other than Customer-Generator, or any retail electrical requirements of Customer-Generator not located on the Premises.

9. Charges For Electric Service: CEC shall bill the Customer-Generator for, and Customer-Generator shall pay, all applicable base billing period service charges for retail electric service to the Premises on which the Net-Metering Facility is located consistent with the CEC rate schedule that would otherwise apply to the Premises notwithstanding the existence of the Net-Metering Facility. CEC shall also bill Customer-Generator, and Customer-Generator shall pay, for all electricity actually delivered by CEC to the Premises, which shall be net of any electricity produced by the Net-Metering Facility, consistent with the rate schedule that would otherwise apply to the Premises.

10. Excess Energy Credits: Any Excess Energy delivered to CEC’s System during a billing period shall be valued by CEC consistent with its Net-Metering Service Rate Schedule N. The value of such Excess Energy shall be credited to the Customer-Generator’s account for the Premises in future billing periods as set forth in Rate Schedule N. CEC shall acquire ownership of the Excess Energy and all renewable attributes associated with such Excess Energy, including renewable energy credits or REC’s.

11. Bi-Directional Meters: CEC shall meter the energy generated by the Net-Metering Facility, including any Excess Energy. CEC will install and maintain, at its own expense, a Bi-Directional Meter as needed to provide Net-Metering service. Customer-Generator shall be responsible for installing, or for the costs of installing, the base for the Bi-Directional Meter.

12. Disconnect Device: The Net-Metering Facility shall include a disconnecting device capable of visibly isolating the Net-Metering Facility from CEC’s System. Such disconnecting device shall be approved by CEC and shall be accessible to CEC personnel at all times. The disconnecting device shall be located adjacent to CEC’s Bi-Directional Meter (within ten (10) feet of CEC’s point of metering) and shall be of the visible break type in a metal enclosure that can be secured by a padlock. Exceptions to this disconnect rule may be made at the sole discretion of CEC.

13. Temporary Disconnection: CEC shall have the right to temporarily disconnect the Net-Metering Facility from CEC’s System if the Net-Metering Facility is out of compliance with this Agreement or whenever necessary to maintain safe and reliable electrical operating conditions. CEC shall also have the right to temporarily disconnect the Net-Metering Facility if, in CEC’s sole judgment, the operation of the Net-Metering Facility at any time adversely affects the operation of CEC’s System or the quality and reliability of CEC’s electrical service to another member. The Net-Metering Facility shall remain disconnected until such time as CEC is satisfied, in its sole but reasonable judgment, that the condition(s) causing the disconnection have ended or have been corrected.

14. Limitation of Liability: CEC shall not be liable, either directly or indirectly, to the Customer-Generator or to any third-party for the acts or omissions of the Customer-Generator arising out of or relating to the installation, interconnection, ownership, operation, or maintenance of the Net-Metering Facility. This provision shall survive termination of this Agreement.

15. Indemnity: Customer-Generator shall indemnify and hold harmless CEC from and against any damage to CEC’s System and any third-party claims caused by, relating to, or arising out of Customer-Generator’s installation, interconnection, ownership, operation, or maintenance of the Net-Metering Facility. This provision shall survive termination of this Agreement.

16. Access: Authorized CEC employees shall have the right to enter the Premises at any time for the purpose of inspecting or testing the Net-Metering Facility, disconnecting device, and Bi-Directional Meter. CEC will provide reasonable notice to Customer-Generator whenever possible prior to using the right of access.

17. Assignment: Customer-Generator may only assign this Agreement to a person obtaining ownership of both the Net-Metering Facility and the Premises. No such assignment will be effective unless and until Customer-Generator has obtained the prior written consent of CEC, which consent CEC may withhold, condition, or delay in its sole but reasonable discretion. As a condition of any such assignment, the assignee must be a member of CEC in good standing, and agree in writing to abide by all of the terms and conditions set forth herein.

18. Removal of Net-Metering Facility: Customer-Generator shall notify CEC in writing if Customer-Generator intends to remove, modify, or cease operating the Net-Metering Facility.

19. Conflict of Terms: Except with respect to technical requirements for the interconnection and operation of the Net-Metering Facility that may be adopted and retroactively applied by the CEC Board of Directors pursuant to Section 6 above, if there is any inconsistency between CEC’s Net Metering Policy and this Agreement, the terms of this of this Agreement shall govern and control.

20. Offer and Acceptance: This Agreement constitutes an offer by CEC to enter into an agreement with Customer-Generator pursuant to the terms and conditions set forth herein. To enter into a binding agreement with CEC, Customer-Generator shall sign this Agreement and promptly return the signed Agreement to CEC. By signing this Agreement, Customer-Generator accepts the terms and conditions set forth herein and agrees to enter into a binding agreement with CEC.

21. Binding Agreement: Once signed by Customer-Generator, this Agreement shall be binding upon and inure to the benefit of both Parties and their respective heirs, executors, administrators, legal representatives, and assigns, subject to the limitation on assignment expressly set forth herein.

22. Acknowledgement of Terms: Customer-Generator acknowledges that it has carefully read and fully understands each of the terms of this Agreement and agrees to be bound by such terms.
